Statement Regarding San Ramon Regional Medical Center Acquisition by John Muir Health
After careful consideration, John Muir Health (JMH) and Tenet Healthcare have decided not to litigate against the Federal Trade Commission’s (FTC) after their decision to challenge JMH’s proposed acquisition of the remaining 51% of San Ramon Regional Medical Center (SRRMC) in court. We made this decision due to the cost and disruption of litigation.
Both Tenet and JMH remain very disappointed in the FTC's decision and strongly disagree with the assumptions and conclusions that were reached in their court submission. We maintain our shared belief that the proposed transaction would have provided substantial benefits for patients and the community. However, the significant investment of time and money required to litigate can be better spent on other initiatives within our health systems and in support of our joint venture.
SRRMC and related businesses will continue to operate under the current joint venture structure between JMH and Tenet. JMH has owned a 49% interest in SRRMC since 2013 and that will continue. Tenet will continue to manage the operations of the hospital. As partners, we remain committed to delivering high-quality, compassionate care and expanding access to specialty care in San Ramon, Dublin, Pleasanton, and surrounding areas.
